PREAMBLE
This agreement governs the relationship between Soul Voyager GmbH (hereinafter "Soul Voyager") and you, the Host who has passed the selection process and publishes Experiences on the www.soulvoyager.net platform.
This agreement is supplemented by the platform Terms and Conditions, Privacy Policy and Code of Ethics (Annex A), which form an integral part of it. In the event of any conflict, this agreement shall prevail.
The purpose is simple: to establish a clear, fair and long-term relationship that allows you to focus on what you do best — welcoming, guiding and delivering transformative Experiences — while we take care of technology, distribution and curation.
Definitions: Venue Host and Guide Host
For the purposes of this agreement, two roles are distinguished, both included within the term "Host":
- Venue Host: a person or entity that makes a location, residence, centre or accommodation facility available for Experiences, whether its own or delivered by third parties.
- Guide Host: a person who designs and personally delivers the Experience — as a guide, facilitator, teacher or activity leader — whether it takes place at their own venue or at a partner venue.
The same person or entity may hold both roles. In that case, the provisions relating to each role apply only to the Experiences published in that capacity. The role is selected during onboarding and recorded at the end of this agreement.
WHO DOES WHAT
1. Your role as Merchant of Record
You are the organiser of the Experience. In legal terms, you are the "Merchant of Record": the party commercially, fiscally and legally responsible for the Experience sold to the Traveler. In particular, you are responsible for:
- Organising and delivering the Experience.
- The quality and physical and psychological safety of Participants.
- Tax and accounting obligations in your country of tax residence and in the country where the Experience takes place.
- Obtaining the authorisations, licences and certifications required by local law.
- Maintaining insurance coverage appropriate to the type of Experiences you offer (see Section VI).
Soul Voyager is not a party to the agreement between you and the Traveler. We act as a technology intermediary: we provide the platform, visibility, the secure payment flow through Stripe Connect, customer support and the brand. You deliver the Experience.
2. Exclusivity and commercial freedom
2.1 — If you are a Venue Host
You retain full commercial freedom. You may promote and sell your availability through any other channel or platform, or directly, without exclusivity restrictions or price or availability parity obligations. The only commitment we require is the non-circumvention obligation set out in Section 14.
2.2 — If you are a Guide Host
This agreement does not restrict your professional activity as a whole: you may continue to offer programs, sessions and activities through your own channels and with other operators.
The exclusivity commitment applies to the individual Experience published on Soul Voyager. For the entire period during which the Experience is published on the platform and until its completion date, you agree not to publish the same Experience on other third-party platforms or marketplaces.
The "same Experience" means an Experience taking place on the same date and at the same location.
You remain fully free to promote and sell the same Experience directly through your own channels — website, newsletter, social media, word of mouth or community — subject to the non-circumvention obligation in Section 14 for Travelers introduced to you through Soul Voyager.
2.3 — If you hold both roles
The exclusivity rule applies to each individual Experience, not to the person or entity. For every published Experience, the applicable rule depends on the role you perform for that specific Experience:
- Experiences that you personally deliver, wherever they take place, including at a venue you own: clause 2.2 applies (exclusivity for that individual Experience in relation to other platforms).
- Making your venue available for Experiences delivered by third parties: clause 2.1 applies (no exclusivity restriction).
If both roles overlap for the same Experience — where you personally deliver the Experience at your own venue — clause 2.2 prevails. Exclusivity then applies solely to the Experience as published on Soul Voyager and not to the availability of the venue, which remains freely marketable for different dates and purposes.
3. Joining the platform
To be admitted, you must:
- Pass our qualitative curation process (we assess identity, Experience portfolio and professional qualifications).
- Complete Stripe identity verification (KYC) and activate a valid Connected Account (tax details and verified bank account).
- Provide the insurance documentation required for the types of Experiences you offer (see Section VI).
- Enter into this agreement and accept the Code of Ethics.
Without an active Stripe Connected Account, you cannot receive online bookings. We may reject applications that do not meet our qualitative standards without being required to provide reasons.
PAYMENTS
4. How funds flow
Soul Voyager applies a transparent model: the price you set is the net price you receive. Our commission, VAT on that commission and Stripe's technical fees are added on top of your price and paid by the Traveler. In other words: you set €100 and you receive €100.
Payment takes place in two stages. At the first payment (booking), the Traveler pays the initial deposit, our full commission, VAT on the commission and the related Stripe fee. At the second payment (balance), the Traveler pays the remaining portion of your price plus the Stripe fee. The following example is based on a Host price of €100:

Three important points: (1) our 15% commission is collected in full at the first payment and is not spread across payments. (2) Stripe fees are calculated using the gross-up method (÷ 1−3.5%) so that, after Stripe retains its fees, the exact net amount due to you and to us remains — neither you nor we absorb the fee. (3) Stripe fees are paid by the Traveler and shown in their payment summary. The 8.1% VAT rate is the current Swiss rate; future changes will be applied automatically.
When you receive the funds
The first deposit (30% of your price) is transferred to you 7 days before the Experience begins. The balance (70%) is transferred according to the method you select (see Section 5).
5. How you choose to receive the Balance
You have two options, to be selected when publishing each Experience:
Option A — Balance paid directly by the Traveler at the venue
The Traveler pays the Balance directly to you on arrival or during the Experience, using the method you prefer (bank transfer, cash or your own POS terminal). Soul Voyager is not involved. This option gives you full control over the Balance and no additional Processing Fee.
Option B — Balance paid through the platform
The Traveler pays the Balance online through Soul Voyager before the Experience begins. Stripe Connect transfers the funds to you within 2 business days after the Experience ends, net of any refunds or holds. A 3.5% Stripe Processing Fee applies to the Balance under this option, covering the cost of the second transaction and charged to the Traveler at checkout. Soul Voyager does not earn anything from this fee — it is the cost charged to us by Stripe.
6. When we may hold payments
We may temporarily suspend transfers only in the following specific circumstances:
- Formal complaints opened by a Traveler, for the time necessary to investigate.
- Chargebacks initiated by Stripe, for the disputed amount.
- A suspected breach of this agreement supported by documentary evidence or substantiated reports and notified to you in writing.
- Ongoing refund procedures.
- Fraud or anti-money laundering investigations ordered by authorities or Stripe.
We will notify you in writing of any hold within 48 hours, stating the reason and expected duration. You may submit comments within 10 days. A hold will not exceed 60 days unless a formal investigation continues.
7. Your tax responsibilities
You are the party fiscally responsible for the Experiences you sell. You issue the tax documents due to the Traveler under the law of the country where the Experience takes place and your country of tax residence. Soul Voyager invoices you for its Commission — not the Traveler.
CANCELLATIONS
8. Cancellation policy
Cancellations follow the rules set out in the platform Terms and Conditions. As regards you as Host:
- If the Traveler cancels more than 14 days in advance: we refund 100% of the Deposit to the Traveler. If the Deposit has already been transferred to you, we recover it through a Stripe reversal or deduction from future payouts.
- If the Traveler cancels between 14 and 7 days in advance: 50% is refunded to the Traveler and 50% is retained by you.
- If the Traveler cancels fewer than 7 days in advance or does not attend: you retain the full Deposit.
- If you cancel (for reasons other than Force Majeure): we refund the Traveler in full (Deposit and Processing Fee). The refund cost is borne by you through deductions from future payouts or Stripe debit authorisation. For repeated cancellations, we may apply penalties, suspend you or terminate the relationship.
Refunds are processed by Soul Voyager through Stripe. Never refund Travelers directly. If you do not have sufficient funds in Stripe to cover a refund, we will request the amount from you within 15 days of our written request.
9. Force Majeure events
If a Force Majeure event (as defined in Section 12 of the Terms) prevents the Experience from taking place, you are not subject to cancellation penalties. Soul Voyager refunds the Traveler (Deposit and Processing Fee) without recourse against you, provided that:
- You notify us of the event at legal@soulvoyager.net within 48 hours.
- You provide verifiable documentation from official sources.
- The event is objective and not attributable to your negligence.
We ask you to make every reasonable effort to offer the Traveler a rescheduled date before cancelling permanently.
QUALITY AND SAFETY
10. The standards we require
Soul Voyager is a curated platform. We commit to offering our Travelers high-quality Experiences. We therefore require you to:
- Maintain quality standards consistent with the platform's positioning.
- Ensure the physical and psychological safety of Participants throughout the Experience.
- Describe the characteristics, contraindications, health prerequisites and risks of the Experience clearly and accurately.
- For Experiences that may affect health, collect health suitability declarations and informed consent before the Experience begins.
- Refrain from offering dangerous practices or practices that are not scientifically validated for healthcare purposes.
- Comply fully with the Code of Ethics (Annex A).
11. Collaborators and subcontractors
You may use collaborators, facilitators or third-party venues to deliver the Experience, but you remain ultimately responsible to the Traveler and to us. You guarantee that your collaborators comply with the same standards established by this agreement.
12. Your content on the platform
The content you publish (text, photographs, videos and materials) must belong to you or you must hold the necessary rights. You grant us a non-exclusive, royalty-free, worldwide, non-transferable and non-sublicensable licence to use it for promoting and operating the platform during the term of the agreement and for 6 months thereafter, solely for the historical archive of Experiences already delivered. You may request removal of specific content at any time, and we will remove it within 30 days of your written request.
13. Traveler data
When we provide you with personal data relating to Travelers participating in your Experiences, you act as an independent data controller (not as a processor under Article 28 GDPR). As controller, you must:
- Process data only for the purposes of the Experience and any legal obligations.
- Not disclose it to third parties except with explicit consent or where legally required.
- Adopt appropriate technical and organisational measures (GDPR and the Swiss nFADP, where applicable).
- Not use it to contact Travelers outside the platform in breach of the non-circumvention clause.
- Notify us within 48 hours of any personal data breach of which you become aware.
- Delete or return the data at the end of the contractual relationship, subject to legal retention obligations.
A PACT OF TRUST
14. Non-circumvention
Soul Voyager invests in curation, marketing, technology and customer support. We therefore ask you to make one simple commitment: do not enter into direct bookings outside the platform with Travelers you met through us.
This commitment lasts for 18 months from the first contact through Soul Voyager and also extends to persons or entities connected to you. It does not limit your freedom to publish the same Experiences on other platforms to attract new customers who did not come from Soul Voyager. It does not apply to relationships that you established independently of the platform and can document.
15. Penalties for breach
If we establish a breach of this commitment, we apply predetermined penalties representing a reasonable estimate of the loss (Articles 160 et seq. of the Swiss Code of Obligations):

The penalty is calculated as 15% of the price of the Experience concerned by the breach, multiplied by the stated factor. We retain the right to prove a higher loss. A court may reduce excessive penalties under Article 163 of the Swiss Code of Obligations.
INSURANCE
16. Insurance coverage
We understand that many holistic and spiritual practitioners (independent guides, yoga teachers and facilitators) do not hold professional liability insurance at the time of onboarding and that making it universally mandatory would exclude an important part of our ecosystem. At the same time, insurance protects both you and your Participants. Our position is balanced:
For most Experiences: professional liability insurance strongly recommended
For Experiences such as meditation, yoga, contemplative retreats, coaching, personal growth programs and activities with low physical risk, professional liability insurance is strongly recommended but not mandatory at onboarding. If you do not have coverage, we ask you to sign a Risk Awareness Declaration (a form we provide) acknowledging the risk and undertaking to inform us if you subsequently obtain insurance.
For high-risk Experiences: professional liability insurance mandatory
For Experiences presenting specific physical or psychological risks, professional liability insurance is mandatory from onboarding. This category includes:
- Holotropic breathing, rebirthing and intensive breathwork.
- Prolonged fasting (more than 48 consecutive hours) and significant dietary restriction.
- High-risk outdoor activities (high-altitude trekking, advanced-condition surfing and excursions in remote environments).
- Experiences involving sacred plants, where made available by the platform.
For these categories, you must provide a copy of the insurance policy before the Experience is published.
17. Indemnity
You shall indemnify and hold us harmless against any claim, action, demand for compensation, sanction or cost (including reasonable legal fees) arising from:
- Claims or actions by Travelers or third parties relating to delivery of the Experience.
- Your breach of tax, accounting or regulatory obligations.
- Accidents or damage caused to Travelers or third parties during the Experience.
- Infringement of third-party intellectual property rights in your content.
- Your breach of personal data protection law.
TRANSPARENCY
18. How the visibility of your Experiences works
In accordance with the Digital Services Act (EU Regulation 2022/2065), we explain how ranking works. The visibility of your Experiences on the platform depends on factors such as the quality and completeness of the listing, Traveler ratings, relevance to searches, your responsiveness, date availability and editorial curation by the Soul Voyager team. We do not accept payment for preferential placement in organic ranking. If you believe your placement is unjustified, contact legal@soulvoyager.net.
19. Automated tools
We may use technology and AI tools to support platform operations (search, ordering, fraud detection and support). However, decisions that have a significant impact on you (account suspension, removal of Experiences or application of penalties) are not made solely by algorithms: they are always reviewed by a person.
TERM AND WITHDRAWAL
20. Term of the agreement
The agreement has an initial term of 12 months and renews automatically from year to year unless terminated in writing with at least 30 days' notice.
20-bis. Evaluation period
Every Host has a 30-day evaluation period starting on the date this agreement is entered into.
During this period, you may withdraw at any time, without cause, notice or charge, by sending a simple email to legal@soulvoyager.net. Withdrawal takes effect immediately when the communication is received.
The following remain applicable even after withdrawal: completion of any bookings already confirmed under the applicable conditions, confidentiality and personal data protection obligations, and the non-circumvention commitment under Section 14, limited to Travelers introduced through the platform during this period.
After 30 days, the ordinary term and withdrawal conditions under Sections 20 and 21 apply in full.
21. Ordinary withdrawal
Either party may withdraw at any time, without cause, by giving 60 days' written notice. Bookings already confirmed on the effective date of withdrawal will be completed under the applicable conditions. This is without prejudice to Section 20-bis.
22. Termination for breach
We may terminate the agreement with immediate effect in serious cases:
- A serious or repeated breach of the agreement, Code of Ethics, Terms or Privacy Policy.
- Harm to Participants or conduct incompatible with their safety.
- Breaches of applicable tax, health or authorisation regulations.
- Insolvency, bankruptcy, liquidation or cessation of the Host's business.
- Revocation or suspension of the Stripe Connected Account for reasons attributable to the Host.
- Conduct that significantly damages Soul Voyager's reputation — including criminal convictions for offences incompatible with the activity, substantiated allegations of abuse or violence against Participants, public discriminatory statements or falsification of qualifications declared during onboarding.
FINAL PROVISIONS
23. Amendments, assignment and governing law
We may amend the agreement for regulatory, operational or technical reasons by giving at least 30 days' notice. If you do not accept the amendment, you may withdraw on the date it enters into force.
Soul Voyager may assign the agreement in the event of a corporate restructuring, subject to prior notice. The Host may not assign the agreement without our written consent.
The agreement is governed by Swiss law. We will first seek an amicable resolution within 60 days, including through mediation where appropriate (Zurich Chamber of Commerce). The competent forum is Zurich.
Ordinary communications may be sent by email or through the Partner Area. Formal communications (withdrawal or termination) must be sent in writing to legal@soulvoyager.net or Soul Voyager's registered office.
HOST CAPACITY
Pursuant to the Preamble and Section 2, the undersigned enters into this agreement as:
- Venue Host
- Guide Host
- Both roles
